Terms of Service
The terms that govern our marketing, website, development, automation and consulting services.

Vortox Lab is a remote-first growth partner for the green industry and works with clients internationally. We do not operate a public office or customer visit location. All contact is handled through the details on this page.
Agreement and business use
These Terms of Service govern marketing, website, development, automation, consulting and related services supplied by Vortox Lab. Our services are designed primarily for businesses. By approving a proposal, Order Form, Statement of Work or invoice that refers to these Terms, the client agrees to them.
A signed Order Form, Statement of Work or other written agreement may add to or change these Terms. If there is a conflict, the signed document takes priority for that service.
Services and starting prices
Vortox Lab offers managed growth packages and separate project work. Current package prices are published as starting prices:
- Foundation: from $2,000 per month.
- Growth: from $3,000 per month.
- Scale: from $5,000 per month.
- Enterprise: custom scope and price.
The final scope, price, start date, contract term and deliverables appear in the client's written Order Form or proposal. A published service description does not create an obligation to provide work that is not included in the agreed scope.
Contract options and renewal
Contracts may be offered on a monthly, six-month or annual basis. Monthly services renew each month until ended with at least 30 days' written notice. Six-month and annual commitments continue until the end of the committed term unless the Order Form expressly allows early termination or both parties agree otherwise in writing. A renewal term and any price change will be handled as stated in the Order Form or a written renewal notice.
Fees, invoicing and taxes
- Recurring service fees are invoiced and charged monthly in advance.
- A one-time setup or activation fee may apply and is due before setup work begins.
- Prices exclude VAT, sales tax and similar taxes where applicable.
- Advertising spend is not included in package pricing and must be funded or paid directly by the client.
- No software, media, third-party or out-of-scope charge will be added without prior written approval, except taxes, payment-provider charges or costs already stated in the Order Form.
- Invoices are payable using the method and due date shown on the invoice.
Client responsibilities
- Provide accurate business, service, pricing, licensing and operational information.
- Provide timely access to accounts, websites, domains, analytics, advertising, CRM, field software and other systems required for the work.
- Review and approve copy, creative, development, automations, budgets and campaign settings within the requested timeframe.
- Maintain sufficient staffing, sales response, licences, insurance and delivery capacity for the services being marketed.
- Ensure client-provided content, photographs, customer data, claims and instructions can be lawfully used.
- Pay advertising platforms, media suppliers and other approved third parties when those costs are the client's responsibility.
Client delay, incomplete information or restricted access may move the delivery date, reduce what can be completed in a billing period, or require the work to be reprioritised. Fees remain payable where the team reserved capacity and the delay was outside Vortox Lab's control.
Scope management and approvals
Managed services are delivered against an agreed monthly scope and priority list, not as unlimited labour. Work outside that scope requires written approval and may be quoted as a project, added to a later period, or substituted for another priority. Silence is not approval unless the parties have expressly agreed a deemed-approval process.
Advertising and third-party platforms
Advertising platforms, search engines, social networks, hosting providers, email systems, AI services and software vendors are independent third parties. Their policies, availability, pricing, approval decisions, suspensions and technical changes are outside Vortox Lab's control. The client must comply with platform terms and fund approved advertising spend. Vortox Lab may recommend changes but cannot guarantee platform access, placement, lead volume or approval.
Accounts, data and access
Where practical, client-specific advertising, analytics, domain, website, CRM and related accounts should be created in or transferred to client-controlled ownership. The client must keep administrator access and accurate billing details. Vortox Lab may retain working access while services are active and will remove or transfer access during offboarding once outstanding invoices and reasonable handover requirements are satisfied.
Intellectual property
- Client materials: The client keeps ownership of its logos, photographs, data, documents and other materials supplied to Vortox Lab. The client grants the rights needed to perform the agreed services.
- Vortox Lab materials: Vortox Lab keeps ownership of pre-existing methods, templates, frameworks, reusable code, automation components, prompts, processes, know-how and internal tools.
- Custom deliverables: After full payment, the client receives the ownership or licence stated in the Order Form for custom copy, creative, website code and other deliverables created specifically for the client. Third-party licences and reusable components remain subject to their own terms.
- Portfolio use: Vortox Lab will use a client name, logo, result, screenshot or testimonial in public marketing only with permission or where the relevant agreement clearly allows it.
Confidentiality
Each party must protect non-public commercial, technical, financial and customer information received from the other and use it only for the relationship. Confidentiality does not cover information that is already public without breach, was lawfully known, is independently developed, or must be disclosed by law. Reasonable disclosure to personnel, subcontractors and advisers is permitted when they have a duty to protect the information.
Subcontractors
Vortox Lab may use employees, contractors and specialist suppliers to deliver services. Vortox Lab remains responsible for managing the agreed work and will require appropriate confidentiality and data-protection commitments where relevant.
Results and professional judgement
Marketing, search visibility, advertising, development and automation involve professional judgement and variables outside one party's control. Vortox Lab does not guarantee rankings, revenue, lead volume, conversion rate, profitability, platform approval or a specific return. Forecasts, plans and estimates are working assumptions, not promises. The Results, Testimonials and Case Study Disclaimer forms part of these Terms.
Suspension and termination
- Either party may end a monthly service with at least 30 days' written notice.
- A fixed six-month or annual term ends at the end of that term unless early termination is expressly permitted in writing.
- Vortox Lab may suspend work for overdue payment, unlawful instructions, platform abuse, security risk, harassment, repeated failure to provide required access, or a material breach that is not corrected after reasonable notice.
- Either party may terminate immediately for material breach that cannot be corrected, insolvency, fraud, or unlawful conduct.
- Fees due up to the effective termination date, committed-term fees and approved third-party costs remain payable according to the Order Form and the Billing, Cancellation and Refund Policy.
Warranties and liability
Each party warrants that it has authority to enter the agreement. Vortox Lab will perform the services with reasonable care and skill. Except where the law does not allow it, all other implied warranties are excluded.
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, loss of anticipated profit, loss caused by platform changes, or loss that could not reasonably have been foreseen when the agreement was made. Nothing excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or another liability that cannot lawfully be excluded. The general financial cap for Vortox Lab's aggregate liability is the amount stated in the client Order Form.
Client indemnity for supplied materials and instructions
The client is responsible for claims arising from materials, data, promises, offers, legal disclosures or instructions supplied by the client where Vortox Lab used them as authorised. This does not apply to the extent a claim was caused by Vortox Lab's unauthorised change, negligence or breach.
Governing law and disputes
These Terms and any non-contractual dispute are governed by the law and the dispute process stated in the client's Order Form. Before formal proceedings, the parties should try in good faith to resolve the dispute through written notice and a management discussion.
General terms
- Neither party may assign the agreement without consent, except as part of a genuine business sale or reorganisation and subject to applicable law.
- A failure to enforce a term is not a waiver of it.
- If one term is unenforceable, the remaining terms continue.
- The agreement, Order Form, incorporated policies and written changes form the entire agreement for the services.
- Electronic signatures, approvals and notices are valid where law permits.
